PETALING JAYA (June 23): Malton Bhd has signed a non-binding memorandum of understanding (MOU) with US-based Ricloud AI Inc, which the company described in a Bursa Malaysia filing today as an Nvidia Cloud Partner (NCP), to explore a proposed collaboration to promote Ricloud’s services and potentially establish AI compute centres in Malaysia.

Malton said the MOU, entered into today, sets out the parties’ respective roles and intentions in relation to the proposed collaboration but does not constitute an enforceable or binding agreement, except for confidentiality obligations. 

Ricloud is described as an AI cloud infrastructure provider serving AI industry participants, hyperscalers, and government entities, and as an official NCP, certified in areas including Nvidia enterprise software, networking and compute.

Under the MOU, Ricloud will, on a best-effort basis, seek to secure technology companies — with emphasis on large global technology players — to invest in and set up AI compute centres in Malaysia, provide technical know-how and design expertise for such facilities, provide AI server procurement, Nvidia GPU (graphics processing units) clusters, and Nvidia solutions in line with NCP requirements, and participate in project financing where required.

Malton, also on a best-effort basis, will assist investors in identifying suitable locations for AI compute centres and, where required, assist with land acquisition, facilitate local authority approvals and permits, and act as the main contractor for construction, completion, testing and commissioning works, including ancillary facilities and infrastructure.

The filing stated that once investors are identified, both parties may agree on applicable terms on a case-by-case basis, depending on investor requirements, and where necessary enter into separate definitive agreements. 

The MOU will remain in force for 12 months from the signing date unless terminated earlier upon execution of a legally binding agreement, expiry of the collaboration period, or notice of termination by either party.

Malton said the MOU allows both parties to formalise their intended roles before proceeding with further information exchange and efforts to secure potential investors. The company said the proposed collaboration represents an opportunity for the group to participate in growing demand for cloud and AI-related computing and data centres.

Malton also said the MOU would not have any effect on its issued share capital, substantial shareholders’ shareholdings, net assets, gearing, earnings or earnings per share. 

The company said none of its directors, major shareholders or persons connected to them has any direct or indirect interest in the MOU.

In a press statement today, Malton said the collaboration matches crucial structural shifts within the domestic digital landscape.

"Malaysia's broader data centre market is projected to reach US$11.40 billion (RM47.17 billion) by 2031 from a US$6.14 billion baseline in 2025, expanding at a compound annual growth rate(CAGR) of 10.86%. 

"Following heightened federal scrutiny regarding the power and resource consumption of generic data operations, the environment transitioned in February 2026 to restrict the development of new non-AI data centre facilities. This policy mandate establishes specialised AI compute centres — which require highly intensive GPU clusters, high-bandwidth networking, and direct-to-chip liquid cooling systems — as the primary approved digital infrastructure pipeline in the country,” it said.

Note: An AI Compute Centre is a specialised data centre facility engineered to support the demanding computational needs of AI workloads, such as training large machine learning models and running real-time inference.
